Course contents:

The course will provide a comparative analysis of Company Law principles in different jurisdictions, including the main common law jurisdictions, EU countries and certain legal systems in Asia. A similar analysis will cover market regulations including the most significant aspects of corporate governance rules. The course will also aim at providing the fundamental knowledge of the main legal implications and business considerations in a number of areas that affect the life of companies and businesses including: ? M&A transactions; ? Access to financial markets through IPOs and domestic and international securities offerings; ? Projects and infrastructure financing; ? Transactions in Private Equity contexts; ? Banking and financing deals, acquisition financing; ? Debt restructuring. The lessons will afford the opportunitiy for discussion and Q&A sessions and, to the extent possible, the course will include contributions of market experts in the different relevant areas.
